1. Definitions
In these Terms and Conditions, the following words have the meanings set out below:
- "Agreement" — these Terms and Conditions, together with any engagement letter or service proposal agreed between the parties.
- "We / Us / Our" — Permata, a business consulting practice registered and operating in Melaka, Malaysia.
- "Client / You / Your" — the individual or business entity that engages Permata for consulting services or uses this website.
- "Services" — the consulting engagements offered by Permata, including the Rooting Session, Seasonal Planning, and Tending Partnership, as described on our website.
- "Website" — the Permata website accessible at permatamy.live.
- "Session Output" — any written document, plan, map, or summary produced by Permata in the course of delivering a Service.
2. Acceptance of Terms
By using this website or engaging Permata for any Service, you confirm that:
- You are at least 18 years of age or have the legal capacity to enter into binding agreements in your jurisdiction.
- Where you act on behalf of a business entity, you have authority to bind that entity to this Agreement.
- You have read, understood, and agree to be bound by these Terms and Conditions.
If you do not agree to these terms, please do not use our website or engage our Services.
3. Service Description
Permata provides business consulting services to small business owners in Malaysia. Our three current offerings are:
- Rooting Session — a structured single engagement to assess business foundations and identify priorities. Fee: RM 700.
- Seasonal Planning — a multi-session engagement to develop a 12-month business roadmap. Fee: RM 1,900.
- Tending Partnership — a six-month ongoing advisory relationship with monthly sessions and quarterly reviews. Fee: RM 3,400.
Services are available to clients throughout Malaysia. Sessions may be conducted in person at our Melaka office or via video call, as agreed. Permata reserves the right to decline an engagement if it determines the fit is not appropriate.
4. Client Responsibilities
To receive the full benefit of our Services, clients agree to:
- Attend scheduled sessions on time or provide at least 24 hours notice if rescheduling is required.
- Provide accurate and complete information about their business when requested.
- Not use the website or any Session Output for any unlawful purpose.
- Not reproduce or distribute Session Outputs to third parties without our prior written consent.
- Maintain respectful communication with Permata advisors throughout the engagement.
5. Intellectual Property
All content on this website — including text, structure, design and methodology descriptions — is the intellectual property of Permata and may not be copied, reproduced or distributed without our written permission.
Session Outputs produced in the course of an engagement are created for the client's personal business use. Upon full payment, the client receives a non-exclusive, non-transferable licence to use the Session Output for their own business purposes. Permata retains ownership of the underlying frameworks, methodologies and templates used to produce them.
Permata may, with client consent, reference the general nature of an engagement (without identifying details) in anonymised case studies or marketing materials.
6. Payment Terms
- Currency: All fees are quoted and payable in Malaysian Ringgit (RM).
- Rooting Session & Seasonal Planning: Full payment is required prior to the first session.
- Tending Partnership: Payment by monthly instalment (RM 600/month for six months) or in full at commencement, as agreed.
- Payment methods: Bank transfer to the account details provided in your engagement confirmation.
Refund Policy
Cancellations made more than 48 hours before a scheduled first session are eligible for a full refund. Cancellations within 48 hours forfeit the session fee. Once a session has taken place, fees for that session are non-refundable. For the Tending Partnership, monthly instalments paid are non-refundable for the month in which they fall. Permata will not charge for any month in which no session has been scheduled or delivered.
7. Engagement Terms
The scope of each engagement is set out in a written confirmation sent to the client prior to the first session. Any changes to scope requested by the client after commencement must be agreed in writing by both parties.
- Permata will make reasonable efforts to deliver sessions within the agreed schedule.
- Session Outputs will be delivered within 5 business days of the relevant session, unless otherwise agreed.
- Delays caused by the client — including late provision of information — may affect timelines without constituting a breach by Permata.
8. Confidentiality
Permata treats all client information as confidential. We will not disclose client business information to third parties except where:
- The client has given written consent.
- Disclosure is required by Malaysian law or a court order.
- The information is already publicly available through no fault of Permata.
Clients are similarly requested to treat any Permata methodologies or frameworks shared in sessions as confidential and not to reproduce or share them externally.
9. Disclaimers
Our Services are provided in good faith based on the information you supply and our professional experience. However:
- Permata does not warrant that any particular outcome, revenue improvement or business result will be achieved by following our advice.
- Our advice is general business guidance and does not constitute legal, financial, tax or accounting advice. Clients should seek specialist advice for those matters.
- Website content is provided for informational purposes and may not reflect the most current developments in any area.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, Permata's total liability to a client for any claim arising from or related to our Services shall not exceed the total fees paid by that client for the engagement giving rise to the claim.
Permata shall not be liable for any indirect, consequential, special or incidental loss, including loss of profit, loss of revenue, or damage to reputation, even if we have been advised of the possibility of such loss.
We shall not be held liable for failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including natural disasters, civil unrest, or government orders.
11. Indemnification
You agree to indemnify and hold Permata, its advisors and associates harmless from any claims, damages, losses or expenses (including reasonable legal fees) arising from your use of our Services or website in a manner inconsistent with these Terms and Conditions, or from your breach of any representation or obligation set out herein.
12. Termination
Either party may terminate an engagement by giving written notice. Where a client terminates:
- Fees for sessions already delivered are not refundable.
- For the Tending Partnership, the client is not liable for monthly instalments for months not yet commenced, provided notice is given before the start of that month.
Permata reserves the right to terminate an engagement immediately if a client engages in conduct that is abusive, dishonest or otherwise incompatible with a productive advisory relationship. In such cases, fees for sessions not yet delivered will be refunded in full.
13. Dispute Resolution
These Terms and Conditions are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first attempt to resolve the matter through direct discussion. If not resolved within 30 days, either party may refer the matter to mediation through the Malaysian Mediation Centre before commencing court proceedings.
Any legal proceedings shall be conducted in the courts of Malaysia, with Melaka as the agreed jurisdiction.
14. General Provisions
- Entire agreement: These Terms, together with any engagement confirmation, constitute the entire agreement between the parties regarding the Services.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full effect.
- Waiver: Failure by either party to enforce any provision shall not constitute a waiver of future enforcement.
- Assignment: Clients may not transfer their rights or obligations under this Agreement without prior written consent from Permata.
- Notices: Formal notices should be sent to the addresses set out in Section 16.
15. Changes to These Terms
We may update these Terms and Conditions from time to time. The revised version will be published on this page with an updated date. For ongoing engagements, material changes will be communicated by email with at least 14 days notice before taking effect. Continued use of our Services after that period constitutes acceptance of the revised terms.
